1. Acceptance of Terms

2. Definitions
Platform: Refers to the MadeInIndia B2B ecommerce website or mobile application where businesses can connect to conduct transactions.
User: Any individual or entity that uses the platform, including buyers and suppliers.
Buyer: A business or organization that purchases products or services from suppliers via the platform.
Supplier: A business or organization that sells or provides products or services via the platform.

3. User Registration and Account
Eligibility: You must be legally capable of entering into binding contracts and conducting commercial activities to use our platform.
Account Creation: Users must create an account to use specific services. You must provide accurate and uptodate information during the registration process.
Confidentiality: You are responsible for maintaining the confidentiality of your account details (including passwords). You agree to notify us immediately of any unauthorized use of your account.
Account Termination: We reserve the right to suspend or terminate accounts that violate our terms or exhibit suspicious activities without prior notice.

4. Use of the Platform
Permitted Use: Users may only use the platform for lawful businesstobusiness (B2B) transactions, including sourcing, selling, and buying goods and services.
Prohibited Activities: Users are not permitted to engage in activities that:

  Involve fraudulent transactions or misrepresentations.
  Infringe on intellectual property rights or any other legal rights.
  Interfere with the operation of the platform (e.g., hacking, spreading malware).
Responsibility for Content: Users are responsible for the accuracy and legality of the information and content they provide, including product descriptions, pricing, and business details.

5. Transactions and Payments
Contractual Relationship: All transactions between buyers and suppliers are direct agreements between these parties. MadeInIndia acts as a facilitator and does not become a party to these contracts.
Pricing and Payment: Buyers and suppliers must agree on the pricing and payment terms before proceeding with transactions. The platform may provide tools for invoicing and payment, but does not control the payment process or terms between the buyer and supplier.
Payment Methods: Accepted payment methods include credit card, bank transfer, or any other payment options provided by MadeInIndia. Fees and taxes applicable to transactions are borne by the respective parties.

6. Product Listings and Descriptions
Accuracy: Suppliers are responsible for providing accurate product descriptions, images, specifications, and availability.
Pricing: All prices listed must be accurate and include applicable taxes or shipping charges where relevant.
Product Responsibility: Suppliers guarantee that the products they list are legitimate, compliant with local laws, and match the provided descriptions.

7. Shipping, Delivery, and Returns
Shipping: Suppliers are responsible for shipping products as per the agreed terms with the buyer. Shipping timelines must be clearly communicated.
Delivery: Once the product is dispatched, it becomes the responsibility of the buyer to track the shipment and receive the goods.
Returns and Refunds: Both parties must comply with the platform’s Refund Policy (outlined separately). Suppliers are responsible for handling any disputes arising from returns or product quality concerns.

8. Dispute Resolution
Initial Resolution: Users are encouraged to resolve disputes directly between the buyer and supplier.
Platform Mediation: In the event of a conflict that cannot be resolved, MadeInIndia offers mediation services to assist with disputes. However, the platform’s role is limited, and we do not guarantee resolutions or act as a legal arbitrator.
Binding Agreement: Users agree that disputes arising from the use of the platform will be resolved per the mediation or arbitration services offered by MadeInIndia, in accordance with Indian law.

9. Intellectual Property
Platform Ownership: All content, design, software, and intellectual property on the MadeInIndia platform is owned by the platform operator and is protected by intellectual property laws.
User Content: Users retain ownership of any content they upload to the platform but grant MadeInIndia a nonexclusive, royaltyfree license to use, display, and distribute the content for platform operation and promotional purposes.
Infringement: Users are not permitted to use or copy any part of the platform, including its content, design, or trademarks, without prior written consent from MadeInIndia.

10. Liability and Indemnity
Platform Responsibility: While MadeInIndia aims to provide a secure and efficient platform, we are not responsible for any damages arising from the use of the platform, including but not limited to data loss, business disruption, or product quality issues.
Limitation of Liability: In no event shall MadeInIndia be liable for indirect, consequential, or punitive damages.
Indemnification: Users agree to indemnify and hold MadeInIndia harmless from any claims, losses, liabilities, or expenses arising from their use of the platform or any violation of these terms.
